News SEBI slaps a penalty of Rs 2 crore on NDTV

Stating that the SEBI order was uploaded by the regulator after business hours yesterday, NDTV said it is intimating the stock exchanges about the order “without prejudice to our contentions in respect of the order, including on the issue of whether the same warrants a disclosure”.

“In view of the company, it does not materially impact its present or future operations, or profit of financials,” NDTV said, while explaining its stand on whether the tax demand had warranted a disclosure.

SEBI said in its 27-page order that the fine was imposed for violation of disclosure norms under listing agreement.

The matter relates to a tax demand of Rs 450 crore raised by the Income Tax Department through an assessment order, dated February 21, 2014, issued by Assessing Officer for the Assessment Year 2009-10. The matter was disclosed by NDTV to the BSE and the NSE in May 2014.

“... a total penalty of Rs 2,00,00,000 is imposed upon the notice New Delhi Television Limited which will be commensurate with violations committed by the noticee,” SEBI’s Adjudicating Officer Prasad Jagadale said in his order.

"The regulator noted that as a listed company, NDTV had the responsibility to comply with disclosure norms in “accordance with the letter, spirit, intention and purpose so that the investors could take a decision whether to buy, sell, or hold its securities”.

I think NDTV was already being investigated by ED for money laundering & tax evasion....

Who Really Owns NDTV?

In 2009, a Mukesh Ambani group entity took control of NDTV under the guise of a loan agreement. The plan was to find a buyer in “three to five years”. No buyer has been found so far and effectively, NDTV is controlled by the Ambanis

In July 2009, Vishvapradhan Commercial Pvt Ltd, a company associated with Reliance Industries Ltd (RIL) gave a loan of Rs350 crore without any interest to NDTV's Prannoy Roy, his wife Radhika Roy and their private holding company RRPR Holding Pvt Ltd. This was a bailout-cum-takeover in the guise of a loan.

The sole purpose of the loan was to repay funding obtained by Roys obtained from a bank, which is barred by the market regulator. Under the agreement signed on 21 July 2009, the Roys were to issue a convertible warrant that equals to 99.9% of the “fully diluted equity share capital of the borrowers (the Roys and RRPR Holdings) at the time of conversion” and the Ambani group agreed to limit their aggregate shareholding to 26%.
